1. Acceptance of Terms

By accessing or using the Codeblix Electronic Billing System (EBS) platform, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must discontinue your use of our services immediately.

2. Services

We provide a comprehensive platform to facilitate compliance with the Mauritius Revenue Authority (MRA):

• Electronic invoicing system
• MRA EBS fiscalization integration and secure transmission
• Invoice generation, storage, and management
• Compliance reporting and administrative oversight tools

3. Account Registration

You must provide accurate, current, and complete information during the registration process and update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. User Responsibilities

As a user of the Codeblix platform, you acknowledge and agree that:

• You are solely responsible for the accuracy of all invoice data inputted into the system.
• You maintain the primary obligation to comply with local tax laws.
• You will ensure timely payment of all subscription fees to maintain uninterrupted access.

5. Customer Data and EBS Processing

You retain ownership and control of the business, customer, invoice and fiscal records supplied to or accessed by Codeblix EBS. By configuring an integration or submitting records, you instruct Codeblix to process the relevant data on your behalf to provide the selected services, including integration setup, validation, mapping, MRA transmission, fiscal evidence, enabled delivery or write-back, reconciliation, security and technical support.

Codeblix will not sell this data or use it for unrelated marketing. Human access is limited to authorised personnel who require it for the permitted service, support, reconciliation, compliance or security purpose. You are responsible for having authority to supply the records and for giving affected persons any notices required by law. 6. Our Responsibilities

We commit to providing reliable platform access and ensuring that invoices are fiscalized in accordance with MRA specifications. We maintain rigorous data security standards and offer ongoing technical support to active subscribers.

7. Fees & Payment

Subscription fees are outlined during the signup process or on our official pricing page. Payment terms operate on a monthly or annual basis, at your discretion. Annual billing typically offers a built-in discount. We reserve the right to change our prices with a 30-day notice period to all active users.

8. Intellectual Property

The platform, including all original software, algorithms, architecture, and documentation, are fully owned by Codeblix Ltd. You retain full ownership and rights over your business data inputted into the system.

9. Prohibited Uses

You may not use the service for illegal activities, attempt to breach network security, perform unauthorized penetration testing, resell the service without a formal partnership agreement, or attempt to reverse engineer the platform's proprietary code.

10. Limitation of Liability

Our liability is strictly limited to direct damages and shall not exceed the total subscription fees paid by you to Codeblix Ltd in the twelve (12) months preceding the incident. We disclaim all liability for indirect, incidental, or consequential damages.

11. Service Availability

While we target a 99.5% uptime, we do not guarantee uninterrupted service. Routine scheduled maintenance will be announced to users in advance.

12. Termination

Either party may terminate this agreement at any time with a 30-day written notice. Upon termination, any outstanding fees immediately become payable.

13. Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Republic of Mauritius. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Mauritius.

14. Modifications

We may update these terms periodically. Significant changes will be communicated to you with a 30-day notice. Continued use of the platform after such updates constitutes your acceptance of the revised terms.
